1. Services
CodeLab One (a division of The Donatello Group SA (PTY) Ltd) provides business technology strategy, custom software development, automation, and related digital services. All work is governed by a separate project proposal or service agreement signed before work begins.
2. Project proposals and scope
Every project begins with a written proposal defining the scope, deliverables, timeline, and price. Work will not begin until the proposal is accepted in writing. Any changes to scope after acceptance must be agreed in writing and may affect the timeline and cost.
3. Payment terms
Payment terms are specified in each project proposal. Typically, a deposit is required before work begins, with the balance due on completion or at agreed milestones. Overdue payments may result in work being paused until the account is settled.
4. Intellectual property
Upon full payment, the client receives full ownership of all custom code, designs, and assets created for their project. CodeLab One retains no ongoing rights to the work once payment is complete. We may reference completed projects in our portfolio unless otherwise agreed.
5. Client responsibilities
Clients are responsible for providing accurate information, timely feedback, and any content or assets needed for the project. Delays caused by the client may affect the agreed timeline. We cannot be held responsible for delays resulting from late provision of required materials.
6. Warranties and liability
We warrant that all work will be completed with reasonable skill and care. We do not guarantee specific business outcomes such as search rankings, revenue, or traffic. Our total liability for any claim is limited to the amount paid for the specific project or service in question.
7. Confidentiality
We treat all client information as confidential and will not share project details, business information, or proprietary data with third parties without consent, except as required by law.
8. Governing law
These terms are governed by the laws of the Republic of South Africa. Any disputes will be subject to the jurisdiction of the South African courts.
